Location:  Round Rock, TX; Hopkinton, MA; or US - Remote

General Summary:

Dell is seeking a Corporate Counsel with compensation and benefits experience in the context of on-going compliance, securities filings, and corporate transactions.  In this role, the attorney will provide legal and risk management advice on Dell’s compensation and benefits programs, draft disclosure, and support corporate transactions. The attorney will be an advisor and partner to Dell’s Finance, Compensation, and Global Benefits teams.  The attorney will report to Dell’s Vice President, Corporate Securities.

The ideal candidate will be a self-starter with strong communication skills who can work closely with business partners.  This position requires good judgment, integrity, high energy, and an ability to multi-task. 

Primary Duties and Responsibilities:

  • Counsels on executive and broad-based compensation programs and related corporate governance matters
  • Advises on domestic and global compensation and benefits programs
  • Provides compensation & benefits legal support for M&A; transactions
  • Prepares compensation disclosures in connection with an annual proxy filing


  • JD and 3 + years of experience as an attorney counseling publicly-traded corporations
  • Experience with ERISA, the Internal Revenue Code, and advising on compensation programs
  • Experience with relevant U.S. federal tax and securities laws (’33 and ’34 Acts, Sarbanes-Oxley, Dodd-Frank)
  • Excellent written and verbal communication skills
