  • While the commercial aspects of the role are critical, this individual will also need be capable of adapting to other unique cross-functional legal matters that arise. Scout’s Commercial Counsel will need to be comfortable facing challenges in an iterative and fast moving environment.

    This is an excellent opportunity for those interested in building out legal commercial processes at a high-growth enterprise B2B SaaS company. The Commercial Counsel will have the opportunity to further develop existing legal processes which will lay the foundation for the next stage of Scout’s growth.

    What You'll Accomplish:
    • Act as the primary point of contact for Scout on all commercial contracting needs
    • Work closely with sales leadership to set up best practices for contract review, negotiation, and closing
    • Maintain an in-depth knowledge of the rapidly changing SaaS legal environment and carry that expertise into all legal processes at Scout
    • Manage the legal review cycle through execution and logging of the contract in our system of record
    • Guide internal policy decisions based on an assessment of the legal environment and help to amend/update those policies as needed
    • Manage all legal document templates and update based on the changing enterprise SaaS market
    • Lead negotiations processes in a collaborative manner including interacting directly with customer counsel and procurement teams
    • Involve external legal resources as needed on specific complex or nuanced issued
    • Train the entire organization on common legal pitfalls and provide regular training refreshers as we encounter new issues
    What You'll Need To Be Successful:
    • 4+ years of experience in commercial legal/contracts either in-house or at a firm focused on Enterprise SaaS
    • J.D. from an accredited university
    • In-depth experience reviewing complex SaaS Agreements and can independently manage a negotiation process directly with opposing counsel
    • Comfortable explaining complex legal issues to both other counsel and to individuals without legal background
    • Experience in software start-up environment
    • Exceptional attention to detail
    • Member of the California bar in good standing or otherwise authorized to practice law in California
