Morgan Stanley’s Securitized Products Group (SPG) contains several Trading Businesses (Agency MBS, residential mortgage loans, RMBS, CMBS, CLOs, and other ABS), a lending arm that focuses on traditional Commercial Real Estate as well as Warehouse (FID Secured Lending “FSL”), and a CUSIP financing business. This is a complex and growing portfolio of businesses within Morgan Stanley that serves a wide range of clients to execute on their business strategies. The Middle Market product group within Secured Lending provides financial solutions to leading middle market private credit originators.
The Asset Approval Team within the Direct Lender Financing FSL group is looking for experienced Analyst to Associate level candidates to join the team.
Position Description:
The FID Secured Lending Group (“FSL”) is currently seeking a Structure and Execution Management lawyer to work on all aspects of structuring and executing financing back leverage transactions involving a broad array of corporate asset classes, including private credit/middle market loans, single name financing, as well as corporate lending in the form of “first out” loans, among other corporate lending activity. This will include working with originators and securitization/syndication teams as well as internal constituents in legal, compliance, tax and accounting policy divisions to help structure and execute transactions, and liaising with outside counsel. This position sits within the FSL Business Unit, not within Legal.
Primary Responsibilities:
Drive the execution of structured finance transactions by:
- Managing legal, documentation, structuring and other issues that arise in connection with FSL transactions
- Drafting, reviewing and negotiating term sheets
- Advising on structure of lending transactions, taking into account legal, franchise, regulatory, tax and other considerations
- Working closely with external counsel to draft and negotiate transaction documentation (credit agreements, security agreements, intercreditor documentation, etc.)
- Working closely with internal counsel to manage legal risks for FSL transactions
- Leading documentation negotiations with clients
- Additional responsibilities would include:
oPreparing material for and presenting to internal committees, senior FSL management, internal audit and regulators
oMaintaining documentation precedents and templates
oMaintaining best practices and internal policies and procedures
· 5+ years of experience in corporate, banking and/or capital markets experience at a major law firm and/or a large financial institution
· Great familiarity with structured finance and secured lending transactions
· Commercially driven and strong desire to work on a business team
· Excellent verbal and written skills and ability to communicate with senior management and clients
· Ability to build effective working relationships, including across functions, and interact comfortably
· Proven leadership ability to manage and deliver on multiple projects under time pressure
Expected base pay rates for the role will be between $175,000 and $250,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
