Law Clerk, Corporate & Securities
Thomson Reuters (TSX/Nasdaq: TRI) is a global content and technology company. Our Legal Department is seeking an experienced Corporate & Securities Law Clerk with a strong background in Canadian securities law to provide support for our global group of subsidiaries.
This position is located at our global headquarters at 19 Duncan Street, Toronto, and offers exposure to stakeholders and leaders within the General Counsel’s Office and across the company.
About the Role
In this opportunity as a Law Clerk, Corporate & Securities, you will:
- Coordinate continuous disclosure, insider reporting and other filings with the Canadian securities regulatory authorities (SEDAR and SEDI) and Toronto Stock Exchange and assist other filings with the Nasdaq Stock Market and U.S. SEC (EDGAR).
- Assist with day-to-day corporate matters, including annual/periodic filings and registrations, drafting resolutions and various other types of corporate documentation, coordinating subsidiary board meetings, and supporting internal corporate restructurings and reorganizations.
- Provide support/back-up to other Thomson Reuters Paralegals, Law Clerks and Company Secretaries around the world.
- Assist with information requests, corporate history matters and other questions.
- Conduct online research and due diligence.
- Coordinate with other departments, such as Tax, Treasury, HR and Accounting, as well as outside legal counsel and other external advisors and agents.
- Assist lawyers and other legal professionals in the Thomson Reuters General Counsel’s Office and outside counsel with aspects of corporate, securities and/or M&A transactions.
- Participate in various Thomson Reuters General Counsel’s Office special projects and initiatives.
- Oversee the updating of global legal entity records in the company’s Diligent Entities database and work with others to update and maintain Thomson Reuters’ global group structure charts.
About You
You're a fit for the role of Law Clerk, Corporate & Securities if your background includes:
- 5+ years of experience at a law firm or corporate legal department.
- Law Clerk certification/diploma from a recognized Law Clerk program.
- Strong knowledge of Canadian corporate and securities laws, rules and regulations; familiarity with LatAm matters, a plus.
- Experience with SEDAR and SEDI filings; experience with EDGAR filings, a plus.
- Excellent organizational skills and attention to detail.
- Excellent verbal and written communication skills.
- Customer service and continuous improvement oriented.
- Ability to work independently and across boundaries as part of a global team.
- Ability and confidence to interact at all levels of the organization, including senior executives.
- Ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.
- Experience using Diligent Entities, Diligent Boards or similar systems .
- Excellent PC skills (Word, Outlook, Excel and PowerPoint); knowledge of Microsoft Teams, electronic signature software and document assembly software.

Thomson Reuters complies with local laws that require upfront disclosure of the expected pay range for a position. The base compensation range varies across locations. For Ontario, Canada, the base compensation range for this role is $125,000 CAD - $175,000 CAD. Base pay is positioned within the range based on several factors including an individual’s knowledge, skills and experience with consideration given to internal equity. Base pay is one part of a comprehensive Total Reward program which also includes flexible and supportive benefits and other wellbeing programs. This role may also be eligible for an Annual Bonus based on a combination of enterprise and individual performance.About Us
