Job DescriptionYour Role
Contract Management - Drafting, reviewing and negotiating a wide range of contracts including Country Participation Agreements for global operations, vendor and service agreements (IT and non-IT), manpower service agreements, Lease deeds, Non-Disclosure Agreements (NDAs), CSR-related agreements. Drafting and continually review various standard templates.
Employment Law Advisory - Provide legal support on employment-related matters including advisory on employee relations and labour law compliance, Drafting and reviewing internal HR policies and procedures
Business Legal Advisory including legal analysis and guidance on day-to-day business operations, collaboration with internal stakeholders to ensure legal risk mitigation.
Litigation Management including oversight of litigation matters and coordination with external counsel, managing dispute resolution and regulatory proceedings.
External Counsel Liaison - Engage and manage relationships with external legal advisors, ensure quality and timely legal support on specialized matters.
Legal Research - Conduct legal research to support business and compliance needs, stay updated on relevant laws, regulations, and industry practices.
POSH Compliance - Serve as a member of the Internal Committee (IC) under the POSH Act and support investigations and ensure compliance with workplace harassment laws as and when required.
Additional Responsibilities (Company Secretary – Added advantage):
Support in ensuring compliance with Companies Act and other applicable corporate laws
Assist in preparation and filing of statutory returns and documents with regulatory authorities (e.g., MCA)
Maintain various statutory registers and records
Support Board and Committee meetings including drafting of agendas, minutes, and resolutions
Advice on corporate governance best practices
Liaise with auditors, regulators, and other stakeholders on secretarial matters.
The Experience Your Bring
Legally qualified, BA LLb or equivalent with minimum 10-12 years of experience, preferably in MNC environment involving financial Services, IT/ITES business.Strong drafting and negotiation skills
Good communication and stakeholder management
Ability to work independently and collaboratively
High attention to detail and organizational skills
Basic knowledge of corporate secretarial practices and statutory compliance will be an added advantage
