Job Description

Your Team

The Legal Team at Invesco is spread across Hyderabad, United States, EMEA, APAC and Canada region. The team aids with all legal matters including drafting, summarizing, and negotiating legal documents, agreements, supplements to the offering documents of various regulated investment products, file class actions/bankruptcy recovery claims and support the firm’s corporate governance processes.

Our Purpose – Our purpose is to support Invesco’s delivery of superior investment experiences by proactively building and deploying sustainable best‐practice legal solutions for our rigorous regulatory environment.

Your Role

  • Partner with Americas, EMEA, and APAC Legal Teams on joint paralegal projects. Lead or support cross-functional initiatives across practice areas and business units, tracking and reporting key legal metrics and project progress to management.
  • Support drafting, analyzing, reviewing, and negotiating various agreements and amendments - such as broker onboarding, commission sharing, commercial/vendor, partner, confidentiality/non-disclosure, and professional services agreements.
  • Manage contract lifecycle activities including execution, renewals, and tracking, while assisting with risk assessment and mitigation related to legal and regulatory matters as needed.
  • Upload Amendments and other agreements on Online Document Repositories and ensure the Master Agreements are properly tagged with the corresponding Amendments and schedules.
  • Respond to Legal Subpoenas, IRS Summons, DOJ, Grand Jury Subpoenas, restraining notices, LOI and garnishment notices.
  • Make annual updates to the Fund Disclosure Documents in alignment with Americas, EMEA and APAC Legal Teams for both the Retail and ETF Funds.
  • File Post Effective Amendments to the Registration Statements for the Retail and ETF funds.
  • Assist in Monthly and Quarterly updates and filing for Interval Fund Tender Offer forms. Update the Tender Offer Board Memo and Resolutions quarterly or as needed.
  • Assist in the process of gathering and disclosing portfolio manager fund holdings and assets.
  • Build out board books, agendas and post board materials for the fund boards in online repositories.
  • Prepare and update, as needed, disclosure documents the firm’s Institutional Private Funds.
  • Review and edit annual registration statements and disclosure for sub-advised funds.
  • Partner with the derivatives legal team to assist in creation of ISDA Amendments, Account Control Agreements and Draft FX Spot letters and provide ISDA Information Updates.
  • Conduct reviews of existing compliance policies to identify gaps, inconsistencies, and potential legal or regulatory risks.
  • Develop and manage SOPs to improve legal process efficiency, support projects, and implement scalable solutions. Learn proactively through the use of diverse tools and platforms to meet evolving challenges.
  • Oversee and evaluate the work of Legal Analysts to ensure accuracy and compliance, while offering training and mentorship to support their professional growth. Proactively identify and resolve issues as they arise.
  • Coordinate on corporate governance and statutory compliances, with knowledge of Company Secretarial work.
  • Act as a client-facing liaison, managing communications and providing legal support to stakeholders including vendors, regulators, and counsel while regularly interacting with overseas colleagues both verbally and in writing.

Work Timing:

Working timing will be 12.30pm to 09.30pm IST however this could change from time to time as per process requirements.

The Experience You Bring

  • 4-6 years of legal work experience, preferably with an investment advisor or mutual fund group in legal or other regulatory environment.
  • Understanding of technology contract practices and standards preferred.
  • Corporate Governance experience and training will be a plus.
  • Working knowledge of back-office operations and securities laws/regulations will be a plus.
