Morgan Stanley Private Equity Secondaries, an investment team within Morgan Stanley Investment Management, seeks to deliver innovative private market solutions to a global client base. As part of a broader team of 50 dedicated private markets focused professionals, the secondaries business draws on decades of investment experience across private markets. With an exclusive focus on GP-Led secondaries transactions in developed buyout and growth markets, the Team structures compelling opportunities within less efficient markets and has committed $4.4 billion to 55 GP-led secondaries transactions, as of June, 2024.

 

The Secondaries team, comprised of 15 investment professionals based in New York, Philadelphia, and London, focuses on partnering with high quality lower and mid-market private equity sponsors globally to structure and complete complex GP-led secondaries transactions, the vast majority of which are focused on a targeted asset within a sponsor’s portfolio. The Team’s approach to each investment is bespoke, tailored to provide an optimal solution to each of the stakeholders in a transaction. As a result, no two transactions are the same, and each requires transaction expertise, thorough due diligence and careful crafting to achieve the desired objectives for all parties involved. In addition to providing liquidity to some or all of the existing limited partners, the key driving factors for these transactions typically include a variety of goals such as restoring alignment between the manager and investors, providing the manager with more time to create value, and financing tactical growth capital. In each situation, the Team approaches the transaction with the aim of providing a capital-based solution to the structural issue being addressed, with a core focus on ensuring strong alignment with a high caliber private equity sponsor and the Fund’s investors.

 

Investment Analysts will have the opportunity to work closely with senior investment professionals on deal teams and work alongside a diverse field of Sponsors analyzing companies in a wide range of industries. Investment Analysts are responsible for investment analysis, research, investment process management, transaction structuring, and deal execution.

 

The Investment Analyst will perform private equity investment analyst responsibilities as part of the secondaries team, detailed as follows:

§  Construct, analyze, and modify detailed financial and LBO models and returns analyses

§  Conduct market and industry research on both a primary and secondary research basis

§  Prepare and present investment memos to the Investment Committee

§  Prepare term sheets and letters of intent; Coordinate the execution of transactions through all parties involved

§  Supporting investment sourcing, client service requests, portfolio monitoring, and other organizational processes

Candidates must have completed an undergraduate degree and have at least one year of full-time work experience in a finance, investment, or strategy consulting-oriented role. Candidates with the following characteristics are highly preferred: 

 

§  An undergraduate degree from a leading university with a strong GPA in a challenging major

§  1-3 years of full-time work experience

§  Strong quantitative and qualitative analytical skills

§  Strong verbal and written communication skills

§  High level of attention-to-detail

§  Financial modeling experience and an understanding of financial concepts, valuation, and accounting

§  Ability to meet challenging deadlines while maintaining quality and accuracy

§  Willingness to be a team player


Expected base pay rates for the role will be between $100,000.00 and $150,000.00 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
