As an Executive Compensation Manager, you will oversee the administration of our Long-Term Incentive Program, ensuring the accurate management of equity grants, vesting events, and compliance with domestic and international regulations.
What You'll Be Doing:
Long-Term Incentive Program Administration
- Lead ongoing administration of Arrow's Long-Term Incentive Program including the preparation, calculation and approval of equity grants, vesting event releases, cancellations, terminations, option exercises, domestic and international reporting and compliance.
- Prepare custom reports for reconciliation between the Fidelity platform and reported data for monthly, quarterly and annual audit processes and financial reporting related to equity, including SEC reporting, statutory audits, and internal and external audit procedures.
- Partner with Baker McKenzie to ensure compliance with U.S. and international laws for tax withholdings on equity awards.
- Coordinate with Legal and oversee administration of the trading window within Fidelity's system, and insider trading compliance.
- Manage vendor relationships, including transfer agent and Stock Plan Administrator (Fidelity).
- Maintain relationships with multiple international payroll and finance contacts for purposes of equity reporting.
- Educate our global employees regarding our equity programs and act as a resource to participants, internal and external business partners providing them with complete and accurate information.
Annual Proxy
- Lead the drafting and development of the compensation-related sections of the annual proxy statement, partnering with various internal partners.
General Executive Compensation
- Provide general executive compensation admin support including analyses and recommendations related to executive pay, maintenance of market pricing, merit process, etc.
What We Are Looking For:
- Typically requires a minimum of 8 years of related experience with a 4-year degree; or 6 years and an advanced degree; or equivalent experience.
- Prior stock administration experience, and experience with Fidelity Stock Plan Services preferred (but not required).
- 2-3 years of executive compensation experience with medium to large publicly traded companies required.
- Comfortable corresponding with Arrow senior level executives and board members regarding Arrow executive compensation programs and personal compensation-related items.
- Ability to multi-task and juggle several projects and requests with exceptional time management skills.
- Comfortable managing highly sensitive and confidential human resources and compensation information.
- Demonstrated advanced writing skills and ability to draft content in Word and PowerPoint related to executive compensation programs and the annual proxy as well as other public documents.
